Scope
These General Terms and Conditions (GTC) apply to all contracts, deliveries, and other services between Knecht Energietechnik GmbH (hereinafter referred to as “Contractor”) and its customers (hereinafter referred to as “Client”), regardless of whether they are private or commercial clients. Deviations or additional agreements must be expressly confirmed in writing by the Contractor.

Conclusion of Contract
A contract is concluded when the Client provides written confirmation of the offer. Verbal side agreements are only binding if confirmed in writing.

Services and Obligations of the Contractor
The Contractor shall carry out all work relating to the consultation, planning, delivery, installation, and maintenance of photovoltaic systems in accordance with the latest technology standards, legal requirements, and the Client’s specifications. Complete solutions for rooftop and ground-mounted photovoltaic systems will be delivered according to the contractual specifications.

The Contractor assumes no responsibility for the structural integrity of the roof unless a structural analysis has been expressly commissioned and carried out. The Contractor is not liable for delays or defects resulting from incorrect information or insufficient preparation on the part of the Client.

Obligations of the Client
The Client is responsible for ensuring that all necessary conditions for the proper execution of the work are met, including:

  • Providing all relevant information regarding structural conditions

  • Ensuring access to the installation site

  • Coordinating with the responsible grid operator

  • Obtaining all necessary official permits, unless otherwise agreed

  • Providing internet access for system visibility and remote monitoring

  • Ensuring regular updates of system software and components

The Client shall bear any additional costs incurred due to unforeseen structural conditions or necessary adjustments.

Payment Terms
Payment is made in three installments:

  • 10% of the contract amount as a down payment upon contract conclusion

  • 50% upon delivery of materials

  • 40% upon technical readiness of the system

These payment terms are standard but may be modified by written agreement. All payments are due immediately upon receipt of invoice. Delays in grid operator acceptance do not affect the agreed payment deadlines.

Note: Technical readiness is defined as the photovoltaic system being installed and operational as per the contract. Delays caused by the grid operator or other external factors are outside the Contractor’s responsibility and do not affect payment due dates.

Delivery Deadlines and Force Majeure
Delivery times are non-binding unless expressly confirmed in writing. The Contractor is not liable for delays due to force majeure or unforeseen events such as material shortages, pandemics, strikes, or government regulations. In such cases, the Contractor is entitled to extend the delivery time or withdraw from the contract.

Retention of Title
All goods delivered remain the property of the Contractor until full payment has been received. The Client is responsible for storing the goods in a secure, weatherproof manner, regardless of ownership, while the goods are in their possession.

Warranty and Liability
Statutory warranty rights apply unless otherwise agreed. Manufacturer warranties are passed on to the Client. The Contractor is not liable for damages caused by improper use, lack of maintenance, or third-party interference. The Contractor is also not liable for consequential damages unless caused by gross negligence or intent.

Maintenance Services
Maintenance contracts can be concluded separately. The Contractor is not liable for damages to the photovoltaic system resulting from lack of maintenance or improper intervention.

Referral Commission
The Client may receive a commission for successful referrals, provided that a fully paid project with the referred customer is concluded within 90 days. Referrals must be submitted in writing. Existing contacts of the Contractor are excluded from this regulation.

Data Protection
The Contractor processes the Client’s personal data exclusively in accordance with applicable data protection laws. For more details, please refer to our Privacy Policy.

Regulatory Changes and Additional Costs
Regulatory changes or additional requirements arising after contract conclusion will be invoiced separately. The Client bears all costs resulting from such changes.

Final Provisions
If any provision of these GTC is or becomes invalid, the remaining provisions shall remain unaffected. German law applies. The place of jurisdiction, where legally permissible, is the registered office of the Contractor.

Changes to the GTC will be communicated to the Client in a timely manner. The current version is available upon request and forms part of the contract.

In the event of a dispute, arbitration may be agreed upon to avoid legal proceedings. These GTC become effective upon signing of the contract.
